1. Acceptance of Terms

By accessing or using the services, applications, or website provided by Bushveld Smart Technologies (Private) Limited ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.

2. Description of Services

Bushveld Smart Technologies provides software development, security products, industrial automation, agricultural software solutions, and related technology services. Our services may include but are not limited to web applications, mobile applications, alarm systems, PLC programming, SCADA systems, and consulting services.

3. User Accounts

Some of our services may require you to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity of our services
• Use our services for any fraudulent or deceptive purpose
• Reverse-engineer, decompile, or disassemble our software
• Collect data from our services without authorization

5. Intellectual Property

All content, software, designs, logos, trademarks, and intellectual property associated with our services are owned by or licensed to Bushveld Smart Technologies. You may not reproduce, distribute, modify, or create derivative works of our intellectual property without prior written consent.

For custom software developed for clients under a service agreement, ownership and licensing terms will be governed by the specific terms of that agreement.

6. Payment Terms

Where applicable, fees for our services are as quoted or as specified in a service agreement. Unless otherwise stated:

• All fees are quoted in the applicable currency and are exclusive of taxes
• Payment is due within the timeframe specified in the invoice or agreement
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for overdue accounts

7. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components.

8. Limitation of Liability

To the maximum extent permitted by law, Bushveld Smart Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our services.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amount paid by you to us for the relevant service in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Bushveld Smart Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

10. Termination

We may terminate or suspend your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
